Terms of Trade

Every quotation IndonesiaCharcoal issues and every order it accepts is subject to these terms. Unless a signed contract says otherwise, placing an order means accepting them.

Quotations and orders

A quotation is indicative and remains valid for the period printed on it, or for 7 days where no period is stated. An order becomes binding once we issue a written order confirmation (proforma invoice) and the agreed advance payment has arrived.

Prices and payment

We quote prices in USD per metric ton under the stated incoterm. Unless something different is agreed in writing, payment is 30% in advance at order confirmation, with the balance due against a copy of the bill of lading. Bank charges incurred outside our country are borne by the buyer.

Quality and inspection

The product specifications on the order confirmation form part of the contract. At the buyer's request and cost, we can arrange pre-shipment samples and an independent surveyor inspection (SGS or equivalent). Any quality claim must be raised within 14 days of the container arriving at the destination port, and must be backed by photos and an independent surveyor's report.

Shipment and risk

Risk passes according to the agreed incoterm. Shipment dates are good-faith estimates. Where a delay arises from something outside our control, such as a vessel schedule change, port congestion, or export permit processing, we tell the buyer promptly.

Force majeure

Neither party is liable for a failure to perform that results from events beyond its reasonable control, including natural disasters, crop failure, government export restrictions, war, or port closures. Should a force majeure event last longer than 60 days, either party may cancel the affected order without penalty.
